TERMS OF USE

ChainClone — Blockchain Migration Service

Effective Date: April 9, 2026

1. Acceptance of Terms

By accessing or using the ChainClone service ("Service") operated by Mesa Operations LLC, a Wyoming limited liability company ("Company," "we," "us"), you ("Customer," "you") agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

2. Description of Service

ChainClone provides blockchain state migration services for EVM-compatible chains. The Service reads publicly available on-chain data (contract bytecode, storage state, account balances, and token ownership records) from a source chain and deploys equivalent state on a destination chain specified by the Customer.

The Service does not migrate transaction history, event logs, or off-chain data. Migrated contracts receive new addresses on the destination chain.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements.

The Service reads publicly available blockchain data. We make no claim of ownership over migrated contract code or state. You represent that you have the right to request migration of the specified contracts and that such migration does not infringe any third-party intellectual property rights.

7. Data and Privacy

The Service operates exclusively on publicly available blockchain data. We do not collect, store, or process personal data beyond what is necessary to communicate with you (e.g., email address for quote delivery). We do not maintain user accounts or databases of customer information.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that migrated contracts will behave identically on the destination chain. Differences in gas pricing, opcode support, precompiles, and block parameters between chains may affect contract behavior.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC MIGRATION THAT GAVE RISE TO THE CLAIM.

We reserve the right to refuse or terminate service to any Customer at any time, for any reason, with or without notice. Upon termination, any pending paid migrations will be refunded in full.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Wyoming.

13. Changes to Terms

We may update these Terms at any time. The effective date at the top of this page indicates when the Terms were last revised. Continued use of the Service after changes constitutes acceptance of the updated Terms.
